Company: Stralis Technologies Inc. (“Stralis,” “we,” “our,” “us”)

These Terms of Service (“Terms”) govern your use of all products, software, websites, applications, and services offered by Stralis (collectively, the “Services”). By accessing or using our Services, you agree to these Terms. If you do not agree, you must not use the Services.

1. Eligibility & Acceptance

  • You must be at least 18 years old to use the Services.

  • By using the Services, you represent and warrant that you have the authority to bind yourself or the entity you represent to these Terms.

  • Stralis may update these Terms at any time. Continued use of the Services constitutes acceptance of any changes.

2. Account & Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

  • Stralis is not liable for losses or damages caused by unauthorized access due to your failure to safeguard credentials.

  • You agree to provide accurate and current information and to promptly update any changes.

3. Intellectual Property Rights

  • All intellectual property, including but not limited to software, workflows, automation scripts, AI models, branding, and documentation, remains the sole property of Stralis or its licensors.

  • You may not copy, reproduce, distribute, modify, reverse engineer, or create derivative works without Stralis’ prior written consent.

  • Any feedback or suggestions you provide may be freely used by Stralis without obligation.

4. User Content & Data

  • By submitting data, content, or materials (“User Content”), you grant Stralis a worldwide, non-exclusive, royalty-free license to use, process, and store such content solely for providing the Services.

  • You represent that you have all necessary rights and permissions to provide User Content.

  • You are solely responsible for backups. Stralis is not responsible for data loss, corruption, or unauthorized access.

5. Services & Availability

  • Services are provided “AS IS” and “AS AVAILABLE.”

  • Stralis does not warrant uninterrupted access, error-free performance, or guaranteed results.

  • Stralis may suspend, modify, or discontinue any Services at any time, with or without notice, and shall not be liable for such changes.

6. Payments & Fees

  • All fees are due as agreed upon at the time of subscription or contract. Payments are non-refundable except where required by law.

  • Stralis may modify pricing with notice. Continued use of the Services after changes constitutes acceptance.

  • You are responsible for all applicable taxes.

7. AI & Automation Disclaimer

  • Stralis’ Services may use artificial intelligence, automation tools, or third-party integrations. Outputs may be incomplete, inaccurate, delayed, or erroneous.

  • You are solely responsible for verifying all outputs before acting on them.

  • Stralis disclaims any liability for business decisions, financial loss, reputational damage, or other outcomes based on AI/automation outputs.

  • The Services are assistive tools only and not substitutes for professional judgment.

8. Third-Party Services

  • Stralis may integrate with third-party services (e.g., Twilio, OpenAI, Airtable, etc.). These services are governed by their own terms.

  • Stralis makes no guarantees and assumes no liability for third-party services, including interruptions, failures, or pricing changes.

9. Limitation of Liability

To the fullest extent permitted by law:

  • Stralis and its affiliates, officers, employees, and contractors shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages, including lost profits, lost business, data loss, reputational harm, or business interruption.

  • Stralis’ maximum aggregate liability arising out of or related to the Services shall not exceed the amount you paid to Stralis in the preceding 12 months.

  • These limitations apply even if Stralis has been advised of the possibility of damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Stralis, its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including legal fees) arising out of:

  • Your use or misuse of the Services.

  • Your violation of these Terms.

  • Your violation of any third-party rights, including intellectual property, confidentiality, or data protection rights.

11. Termination

  • Stralis may suspend or terminate your account or access to the Services at any time, with or without cause.

  • Upon termination, your right to use the Services immediately ceases.

  • Sections concerning Intellectual Property, Limitation of Liability, Indemnification, and Governing Law shall survive termination.

12. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.

  • Any dispute shall be resolved by binding arbitration in Toronto, Ontario, conducted in English.

  • Class actions, collective actions, or jury trials are expressly waived.

13. Force Majeure

Stralis is not liable for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, internet outages, strikes, pandemics, or government actions.

14. Entire Agreement

These Terms constitute the entire agreement between you and Stralis regarding the Services and supersede all prior agreements, proposals, or communications.
